Terms of Service

The rules for using LaunchOS, in plain language: what we provide, what you're responsible for, how billing works, and what happens to your data when you leave.

Template notice. This document is a template written for the LaunchOS product. It must be reviewed and adapted by qualified legal counsel before LaunchOS is used in production.

1.About these terms

These Terms of Service (the “Terms”) are an agreement between LaunchOS (“LaunchOS”, “we”, “us”) and the business or person that creates a LaunchOS account or workspace (“you” or the “Customer”). If you accept these Terms for a company or other organization, you confirm that you're authorized to bind it, and “you” means that organization.

You accept these Terms when you create an account, tick the acceptance box at sign-up or use LaunchOS. We record which version you accepted. The Privacy Policy and Cookie Policy explain how we handle personal data and cookies and form part of these Terms. If you sign an order form or a data processing agreement with us, it also forms part of these Terms and prevails where it conflicts.

People invited into a Customer's workspace (team members, affiliates and students) must also follow these Terms when they use LaunchOS. Their relationship with the Customer, for example the purchase of a course or an affiliate commission agreement, is between them and the Customer, not LaunchOS.

2.The service

LaunchOS is an online workspace for planning and running digital product launches and the commerce around them. Depending on your plan it includes launch plans and calendars, tasks, content production, ads and creative tracking, tracked links and attribution, order and refund tracking from connected checkout providers, an affiliate center, courses and live events, a WhatsApp and Instagram support inbox, finance records, and team roles and permissions.

The features, limits and prices of each plan are described on the pricing page. We improve LaunchOS continually and may add, change or remove features. We won't materially reduce the core functionality of a paid plan during a period you've already paid for. Features marked as beta or preview are provided as they are and may change or end at any time.

Done-for-you services, such as campaign setup, consulting, media buying and launch management, are not part of the subscription. They're sold separately under a quote or statement of work that describes their scope, price and any additional terms.

3.Accounts and eligibility

  • LaunchOS is a business tool. You must be at least 18 years old and able to enter into a binding contract, and you must use LaunchOS for business or professional purposes.
  • Give accurate sign-up information, verify your email address and keep it up to date. Keep your password secure and don't share accounts. Each person needs their own login.
  • You're responsible for everything that happens in your workspace, including the actions of the people you invite. Owners decide who has access and which role each person has. Tell us promptly at legal@launchos.app if you suspect unauthorized access.
  • We may refuse or close accounts created with false information, created automatically, or created to get around a suspension or plan limits.

4.Acceptable use

You agree not to use LaunchOS, or let anyone else use your workspace, to:

  • break any law or regulation, including consumer protection, advertising, privacy and anti-spam laws;
  • sell or promote illegal, counterfeit or deceptive products, or make misleading claims such as guaranteed income or results;
  • send unsolicited messages or bulk messages without the recipient's permission, including through WhatsApp or Instagram in breach of the provider's messaging policies;
  • infringe anyone's intellectual property, privacy or other rights;
  • upload malware or content that is unlawful, harassing, hateful or sexually exploits minors;
  • access or try to access another organization's data, probe or break our security, or bypass plan limits, rate limits or access controls;
  • scrape the service, overload it, or copy, resell or reverse engineer it, except where the law expressly allows it;
  • store payment card numbers, government identification numbers, health data or other special categories of personal data in LaunchOS, unless a feature is expressly built for that purpose.

We may investigate suspected violations, remove content that breaks these rules and, where needed, suspend access as described in Suspension.

5.Your content and data

“Customer Content” means everything you or your team put into LaunchOS or bring in from connected accounts: launches, tasks, content, files, products, orders, customer and lead records, affiliate and student information, messages and financial records. You keep all rights to Customer Content.

You give us a limited permission to host, copy, process and display Customer Content only as needed to provide, secure and support LaunchOS for you. We don't sell Customer Content and don't use it to advertise to your customers.

For personal data about your own customers, leads, students, affiliates and contacts, you are the controller and LaunchOS is your processor (or “operator” under Brazil's LGPD). We process that data only on your instructions, as described in the Privacy Policy and any data processing agreement we sign with you. You're responsible for having a lawful basis for that data, giving the required privacy notices and collecting any consents, including for messaging and tracking.

We may use aggregated, de-identified information about how LaunchOS is used (for example, how often a feature is opened) to run and improve the service. It never identifies you, your customers or your content. If you send us feedback or suggestions, we may use them without any obligation to you.

6.Connected third-party accounts

LaunchOS works by connecting to accounts you hold with other providers, such as Stripe, Hotmart, Shopify, Meta (Facebook, Instagram and WhatsApp), Google, TikTok, UTMify, Zoom, Vimeo and Mux. When you connect one, you authorize LaunchOS to access it on your behalf with the permissions you grant, for example to receive order webhooks, read ad metrics or send replies to customer messages.

  • Your contract is with the provider. Your use of each provider is governed by your own agreement with it. You're responsible for complying with its terms and policies (including advertising and messaging policies) and for its fees.
  • We don't control providers. We aren't responsible for a provider's outages, errors, API changes, account decisions or data. If a provider changes or withdraws its API, the related LaunchOS feature may stop working.
  • Reported numbers are informational. Metrics, attribution and commission figures depend on provider data that can arrive late, be incomplete or change. LaunchOS labels where data came from and how fresh it is, but you should reconcile figures with the provider's records before paying commissions or making financial or tax decisions.
  • You can disconnect at any time. Disconnecting stops future syncs and deletes the stored credentials. Data already imported stays in your workspace until you delete it.

Your customers pay you through your own provider accounts. LaunchOS never receives or holds the money from your sales.

7.Plans, payments and subscriptions

  • Paid plans and add-ons are subscriptions billed in advance, monthly or annually, through our payment processor Stripe. Card details are entered on Stripe's pages and stored by Stripe. LaunchOS never receives or stores your full card number.
  • By subscribing you authorize recurring charges at the start of each billing period until you cancel. Prices are shown on the pricing page and exclude taxes. Where we must collect sales tax, VAT or GST, it's added at checkout and shown on the invoice.
  • Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period. Plan limits are enforced by the service. If you're above a lower plan's limits, your existing data is kept but you can't add more until you're back under the limit.
  • If a payment fails, Stripe will retry it and your subscription becomes past due. If it remains unpaid after reasonable reminders, we may move the workspace to the Free plan or suspend paid features.
  • We may change prices with at least 30 days' notice. A new price applies from your next renewal after the notice period, and you can cancel before it applies.
  • Invoices and receipts are available under Billing in the app.

8.Free plan and trials

New workspaces may start with a free trial of paid features. The length of the trial is shown at sign-up and on the pricing page, and no payment card is needed to start it. When the trial ends, the workspace moves to the Free plan unless you choose a paid plan. Your data is kept, subject to the Free plan's limits.

Trials are limited to one per customer. We may end a trial early or refuse one if we see abuse, such as repeated sign-ups to extend a trial. The Free plan and trials are provided without any service level commitment.

9.Cancellation and refunds

You can cancel a subscription at any time from Billing. Cancellation takes effect at the end of the current paid period, and you keep access to paid features until then. After that the workspace moves to the Free plan.

Fees already paid aren't refundable, and we don't give credits for partial periods, downgrades or unused seats, except where the law requires it or we say otherwise in writing. If we end your subscription for convenience rather than because of a breach by you, we'll refund the prepaid fees for the remaining period.

Refunds you give your own customers are issued through your payment provider. LaunchOS records them and, where you've set it up, reverses the related affiliate commissions.

10.Suspension

We may suspend all or part of your access if:

  • payment is significantly overdue;
  • you or someone in your workspace seriously or repeatedly breaks these Terms;
  • your use creates a security risk, harms the service or other customers, or exposes us to legal liability; or
  • we're required to by law or by a competent authority.

Where it's reasonable and lawful, we'll tell you first and give you a chance to fix the problem. A suspended workspace is usually kept read-only, so you can still view and export your data. We restore access once the reason for the suspension is resolved.

11.Termination, data export and deletion

You can stop using LaunchOS at any time by cancelling your subscription and deleting your organization or account from settings. We may terminate these Terms if you materially breach them and don't fix the breach within 30 days of notice, or immediately for serious violations of Acceptable use.

Export

While your account is active, organization owners can export the workspace's data as CSV files, and every user can download their own personal data as a JSON file, from settings. Export files are available to download for a limited time and then deleted automatically. If we terminate your access for a reason other than a serious violation, we'll give you a reasonable opportunity to export your data first.

Deletion

When you ask to delete an organization or account, the deletion is scheduled after a short grace period shown in the app, during which you can cancel it. After that, the data is permanently deleted from our active systems and disappears from backups as they rotate. We keep the limited records we're legally required to keep, such as invoices, as described in the Privacy Policy.

Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitation of liability and indemnities) continue to apply.

12.Our intellectual property

LaunchOS, including its software, design, templates and brand, belongs to us and our licensors. While your subscription is active we give you a non-exclusive, non-transferable right to use LaunchOS for your business under these Terms. We keep all rights we don't expressly grant. Launch templates you create from our system templates are your Customer Content.

13.Confidentiality

Each party will protect the other's non-public information that it receives in connection with LaunchOS with at least reasonable care, use it only for the purpose of this agreement and share it only with people who need to know it and are bound by similar duties. This doesn't apply to information that is public, already known, received lawfully from someone else or developed independently, and either party may disclose information when the law requires it.

14.Warranties and disclaimers

We'll provide LaunchOS with reasonable skill and care and in line with the descriptions on our website. Apart from that, and to the extent the law allows, LaunchOS is provided “as is” and “as available”, without other warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement.

We don't guarantee that the service will be uninterrupted or error-free, or any particular result from a launch, campaign or affiliate program, including sales, revenue, ad performance or attribution accuracy. LaunchOS doesn't give legal, tax, accounting or financial advice.

15.Limitation of liability

To the extent the law allows:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if it was told they were possible; and
  • each party's total liability arising out of or relating to these Terms is limited to the amounts you paid LaunchOS in the 12 months before the event giving rise to the claim, or USD 100 if you haven't paid anything.

These limits don't apply to your payment obligations, to either party's indemnity obligations, to liability for fraud, gross negligence or wilful misconduct, or to any liability that can't be limited by law.

16.Indemnity

You will defend and indemnify LaunchOS against third-party claims arising from your Customer Content, the products and offers you sell, your use of connected provider accounts, or your breach of these Terms or the law.

We will defend and indemnify you against third-party claims that LaunchOS, used as permitted, infringes their intellectual property rights. This doesn't cover claims caused by Customer Content, third-party services, or changes or combinations we didn't make.

The party asking for protection must notify the other promptly, let it control the defense and cooperate reasonably.

17.Changes to these terms

We may update these Terms. If a change is material, we'll notify you by email or in the app at least 30 days before it takes effect, unless the change is required by law or needed to address a security risk. The date at the top shows the current version, and we may ask you to accept the new version when you next sign in. If you don't agree with a change, you can cancel before it takes effect. Continuing to use LaunchOS after that date means you accept the updated Terms.

18.General

  • Governing law. These Terms are governed by the laws of the place where the LaunchOS entity that contracts with you is established, without regard to conflict-of-law rules. Mandatory protections of the law where you are based still apply.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets, and will tell you if we do.
  • Force majeure. Neither party is responsible for delays caused by events beyond its reasonable control, such as natural disasters, wide-scale internet or provider outages, or acts of government.
  • Entire agreement. These Terms, together with the documents they refer to, are the whole agreement between us about LaunchOS. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision isn't a waiver of it.
  • Notices. We send notices to the email address of your workspace owners or in the app. Send notices to us at legal@launchos.app.
